Description:
Mariana Minerals is a software-first, vertically integrated minerals company on a mission to supply the critical minerals powering modern energy, AI, and defense technologies.Lead drafting, review, and negotiation of a wide variety of commercial agreements, including NDAs, MSAs, supply and procurement agreements, offtake agreements, software agreements, and professional services agreementsJ.D. from a top accredited law school and active bar membership in good standing, 5–7+ years of experience as a transactional or commercial attorney, with meaningful exposure to drafting and negotiating commercial contracts (law firm and/or in-house experience)
Responsibilities:
• Build and maintain scalable contract playbooks, standard form agreements, fallback positions, and negotiation guidelines to enable efficient and consistent contracting across the organization
• Collaborate with cross-functional teams to improve the company’s contract workflows, including streamlining negotiation, tracking, and execution and identifying opportunities to leverage automation
• Provide practical and business-oriented advice to cross-functional teams on a variety of matters, including IP issues, risk mitigation, and contract interpretation
• Support the small but growing legal team on ad hoc matters as needed
Qualifications:
• Strong drafting, negotiation, and analytical skills, with the ability to translate complex legal issues into clear, practical guidance for non-legal stakeholders
• Ability to work independently, manage multiple competing priorities, and operate effectively in a fast-moving, resource-constrained environment with limited direction
• High degree of ownership and accountability
• Experience in the mining, energy, construction, or other capital-intensive industry
• Experience supporting large-scale commercial contracting projects
