Description:
We are seeking an experienced attorney to serve as Counsel supporting our M&A, operational, and commercial activities.- Legal Guidance: Provide expert legal advice and guidance to our operations and commercial teams on a wide range of legal matters, including interpretation of statutes, regulations, case law, and compliance with applicable laws and regulations.- Juris Doctor (J.D.) degree from an accredited law school and active membership in the bar association.
Responsibilities:
• Legal Guidance: Provide expert legal advice and guidance to our operations and commercial teams on a wide range of legal matters, including interpretation of statutes, regulations, case law, and compliance with applicable laws and regulations.
• Drafting and Negotiation: Draft, review, negotiate, and finalize complex transactional, financial, and commercial agreements.
• Risk Assessment and Mitigation: Assess legal and commercial risks associated with our commercial activities and develop strategies to mitigate risks and protect the Partnership’s interests while helping internal clients achieve their business objectives.
• Compliance: Stay current with relevant laws, regulations, and industry standards related to our operational and commercial activities.
• Outside Counsel Oversight: Work collaboratively with outside counsel to oversee activities upon which they are engaged.
• Cross-functional Collaboration: Collaborate with all internal departments to ensure legal counsel and advised approaches align with company-wide goals and objectives.
Qualifications:
• Juris Doctor (J.D.) degree from an accredited law school and active membership in the bar association.
• Minimum of 5+ years of experience as an attorney, with a focus on mergers and acquisitions, commercial contracts, and general corporate legal matters, either in-house or at a law firm.
• Strong knowledge of M&A, finance, and commercial transactions.
• Experience drafting, reviewing, and negotiating a variety of legal instruments, including transactional M&A documents and complex commercial agreements.
• Sound understanding of legal and regulatory frameworks and common law principles applicable to M&A and commercial matters.
• Excellent communication and negotiation skills, with the ability to interact effectively with internal stakeholders and external vendors.
